Shipping agent (Ship broker)

Shipping agent (also called ship consignee or ship broker), is the person or company that represents the owner or operator of the ship and carries out the procedures related to its entry, stay and exit from the port. He also gets cargoes for ships.

The existence of the shipping agent results from the ship's need for the care of the crew and cargo, as well as giving clarity and certainty to those who use this route or carry out related activities, such as users and/or public authorities. A shipping agent can basically limit his function to the attention that the ship demands in port, under this circumstance the relationship between the owner of the cargo and the agent is indirect.

International cargo agent: Legal person registered with the National Tax and Customs Directorate, to act exclusively in the maritime transport mode, and whose corporate purpose includes, among others, the following activities: coordinate and organize shipments, consolidate export cargo or deconsolidate import cargo and issue or receive from abroad the transport documents of its activity.

Bill of Lading: It is the receipt that proves the shipment of the merchandise. Without this title, the merchandise cannot be collected at the destination. According to the means of transport it takes the specific name (Maritime Bill of Lading or "Bill of Lading" or air waybill ("Airwail", air waybill, if it is by air).

There are few pronouncements or legislation on this issue, Spain is among the few countries where part of this discussion has eventually occurred, due to some judicial decisions where some type of joint liability was attributed to the agent. Thanks to the debate that these few pronouncements unleashed, the issue was clarified by a judgment of the Supreme Court where the non-solidarity of the Agent or shipping agent was affirmed.

The shipper is the one who executes the transport and is the one who has the merchandise under his control from the moment he receives it at the loading port until it is delivered at the place established in the contract. The Agent is not part of the transport contract, in fact the agent at the port of loading ends its functions before the transport contract begins.

The shipowner is the one who decides the route and the cargo that admits, hires and fires the crew, takes care of the maintenance of the ship, can sell the ship and even abandon the ship. The agent's activity is limited to administrative procedures in the port, it does not intervene at all in the execution of the transport, it does not have control of the goods during it, either directly or through employees, It has no decision-making power regarding the route to be carried out, the type of merchandise to be transported, the crew to be employed, or the terms of transport or type of port operation required, etc.

The agent does not own the vessel nor does it charter, therefore, it cannot sell or abandon it. The services that he provides are not the performance of the transport, simply because he does not perform it.
